POSITION SUMMARY
(Eligible for Hybrid/ 3 days in office after introductory period- Alexandria, VA)
United Way Worldwide’s (UWW) Office of the General Counsel seeks an experienced attorney to serve as an Associate General Counsel (AGC) to support a wide range of legal needs. Reporting directly to the General Counsel and the Deputy General Counsel, the AGC will draft, negotiate, edit, and review for legal sufficiency diverse types of business transactions, including contracts, grants, licenses, and other agreements. The AGC will also provide strategic legal advice and support the organization’s regulatory compliance functions. A self-starter and curiosity-driven with an appetite to learn and take on new projects, the AGC conducts highly complex and important work and projects critical to the organization in a manner consistent with UWW’s mission, values, and strategic objectives.

KEY RESPONSIBILITIES/ESSENTIAL DUTIES OF POSITION
- Draft and review UWW contracts, agreements, grants, and memoranda of understanding with third parties, including contracts for the purchase of goods and services, transaction agreements, licensing and branding, software as a service (SAAS), real estate transactions, affiliated corporation agreements, collaboration and partnership agreement, and Trust and Estate gifts
- Provide timely, accessible, responsive, and sound legal services to constituencies in a collaborative professional environment on the full array of legal issues arising in the context of a non-profit federated organization, including contracts, grants, gifts, intellectual property, employment and labor, real estate, computing/technology, licensing, tax, tort claims, legal compliance, and risk management.
- Assist staff and committees in reviewing, drafting, and modifying UWW policies to ensure compliance with existing and evolving federal, state, and international law and regulations.
- Conduct legal research and prepare related memorandum, legal correspondence, and legal documents.
- Supervise research performed by paralegals and interns.
- Assist in developing and refining contract templates and the contract review process in collaboration with the OGC team.
- Provide strategic input and advice for negotiating to ensure contract and grant requirements are adequately defined and documented
- Assist in developing and delivering training, education and informational materials on various legal, compliance matters and risk management issues
- Collaborate with various UWW departments on organizational initiatives and advise on the law and best practices to protect UWW’ interests.
- Review and investigate matters that may become legal claims and prepare related correspondence.
- Coordinate, respond, and comply with the processing of subpoenas and complex records requests.
- Assist in maintaining trademark registrations on a worldwide basis and work with Marketing the Communications team to register all new marks and maintain member and partner licenses for secondary marks.
- Advise on legal aspects of structuring nonprofit collaborations and related business entities on a worldwide basis.
- Assist in coordinating the United Way’s compliance and risk management programs, including assisting other UWW departments with developing ongoing grant and contract compliance measures and programs
- Assist in drafting and managing regulatory filings, investigations, audits, conducting internal investigations and collaborating with outside counsel and other experts as needed
- Identify and communicate risks for transactions and projects and ensures teams analyzes and addresses risks in their work
- Solves problems and/or creates new procedures and/or processes as part of the problem-solving process, with a focus on efficiency
- Perform other duties and responsibilities as required, assigned, or requested.
.JOB REQUIREMENTS
- J.D. and admission/license to practice law in any State (of the United States) in good standing with the ability to obtain single client in-house admission in Virginia if not already admitted in Virginia
- At least 5 years of experience drafting, reviewing, and negotiating contracts, such as customer agreements, vendor contracts, license agreements, and employment contracts
- Excellent proficiency at organizing and prioritizing work; task-focused; works on own initiative to get things done; ability to work under pressure and manage multiple stakeholders
- Ability to influence or gain acceptance from others on matters involving multiple functional areas and departments in order to complete work

Preferred Education and Experience
- In-house counsel experience, tax-exempt organization experience, federal funding, and contracting experience
- Strong subject matter expertise on federal regulations and procedures (e.g. OMB Uniform Guidance, FAR, agency-specific terms) governing federal grants and contracts, federal awards, and/or cooperative agreements
- Experience handling complex transactions involving regulatory matters
- Experience handling the life cycle of corporate transactions and collaborative arrangements
- Experience with Office 365, SharePoint, Oracle, DocuSign, Conflict of Interest Disclosure Platforms

- Advising clients on state and local government procurement and operational regulations, statutes, and policies, including monitoring applicable statutory and regulatory developments for ongoing compliance
- Bid preparation: Advising and assisting clients with bid preparation and proposal submission
- Contract administration: Advising clients on contract administration and enforcement issues
- Procurement documents: Drafting, revising, and reviewing procurement documents, such as Requests for Proposals (RFPs)
- Legal strategy: Developing and leading corporate legal strategy to protect and promote the company's interests
- Risk management: Implementing risk management techniques and offering proactive advice on potential legal issues
- Legal representation: Representing clients in agency claims and investigations

COMPENSATION AND BENEFITS
The salary range for this position is $165,000 to $185,000 per year.
